नई दिल्ली, 9 सितंबर 2026: IT services company Coforge Ltd के Non-Executive Independent Director और Chairman Om Prakash Bhatt ने तत्काल प्रभाव से अपने पद से इस्तीफा दे दिया है। उनका resignation कंपनी के हालिया Board Evaluation Exercise को लेकर internal audit में concerns सामने आने के बाद आया। खबर के बाद बुधवार को Coforge का share शुरुआती कारोबार में करीब 6-7% गिरा और बाद में intraday में लगभग 8.7% टूटकर ₹1,780.10 तक पहुंच गया। Internal Audit में क्या मिला? Coforge ने अपने Q2 FY26 internal audit plan के तहत Board Evaluation Exercise और उससे तैयार Board Evaluation Report (BER) की process की समीक्षा कराई थी। Company के मुताबिक audit में इस बात को लेकर concerns सामने आए कि BER को Board के सामने किस तरह handle और present किया गया। Audit ने पाया कि report और Chairman की performance से जुड़ी कुछ material information पूरी तरह Board के सामने disclose नहीं की गई थी। Bhatt से मांगा गया था Clarification Internal audit findings के बाद Coforge ने Om Prakash Bhatt से मामले पर clarification मांगा था। Bhatt ने company को अपना response दिया, लेकिन Board की review process पूरी होने से पहले ही उन्होंने resignation दे दिया। Bhatt ने अपने resignation में संकेत दिया कि Board evaluation process में उनके actions की nature को लेकर disagreement के बीच उनका पद पर बने रहना Board के effective functioning के लिए उचित नहीं होगा। 8 सितंबर से प्रभावी हुआ Resignation Om Prakash Bhatt ने 8 सितंबर 2026 से तत्काल प्रभाव से Non-Executive Independent Director और Chairman का पद छोड़ दिया। इसके साथ वह company की विभिन्न Board committees के member भी नहीं रहे। Vivek Sharma बने Interim Chairperson Coforge Board ने Non-Executive Independent Director Vivek Sharma को interim Chairperson नियुक्त किया है। वह 31 जनवरी 2027 तक या permanent Chairperson की नियुक्ति होने तक यह जिम्मेदारी संभालेंगे। Share में करीब 9% तक गिरावट Chairman के अचानक resignation और corporate-governance concerns के बाद investors ने Coforge shares में तेज selling की। BSE पर stock करीब 8.7% गिरकर ₹1,780.10 के intraday low तक पहुंच गया। शुरुआती कारोबार में अलग-अलग समय पर गिरावट करीब 6-7% रही थी। Nifty IT भी दबाव में Coforge की गिरावट ऐसे समय आई जब broader IT sector भी कमजोर कारोबार कर रहा था। बुधवार को Nifty IT index करीब 3% नीचे था और Infosys तथा TCS समेत अन्य IT stocks पर भी दबाव दिखाई दिया। मजबूत Financial Performance के बीच Governance चिंता Leadership uncertainty ऐसे समय आई है जब Coforge ने हाल में मजबूत financial performance दर्ज की थी। Q1 FY27 में company का revenue 49% YoY बढ़कर ₹5,527.7 करोड़ और PAT 110% बढ़ा था। कंपनी का next-12-month signed order book भी $2.23 billion था। इसी वजह से market की नजर अब इस बात पर रहेगी कि governance issue का company के operations, clients और investor confidence पर कोई longer-term असर पड़ता है या नहीं। Audit Concern का मतलब Financial Fraud की पुष्टि नहीं यह स्पष्ट करना जरूरी है कि सामने आया internal-audit concern Board evaluation process और disclosure से जुड़ा है। अभी तक उपलब्ध company disclosures में accounting fraud, financial misstatement या customer-related misconduct की पुष्टि नहीं की गई है। आगे Board review या regulatory disclosures से इस मामले की और जानकारी सामने आ सकती है। source – Coforge / Reuters / Moneycontrol जय राष्ट्र न्यूज़
