मुंबई/स्टटगार्ट: भारत की सबसे बड़ी IT services company Tata Consultancy Services (TCS) ने German luxury sports car maker Porsche AG के साथ एक बड़ी strategic partnership का ऐलान किया है। इसके तहत TCS, Porsche की management और IT consulting subsidiary MHP Management- und IT-Beratung GmbH का 100% अधिग्रहण करेगी।
MHP की enterprise value €320 million, यानी करीब ₹3,574 करोड़ रखी गई है। इसके साथ Porsche और TCS ने अगले पांच वर्षों के लिए करीब €1.25 billion की strategic business partnership भी की है, जिसमें Artificial Intelligence, engineering, manufacturing, operations और customer experience जैसे क्षेत्रों में काम किया जाएगा।
TCS खरीदेगा MHP की 100% हिस्सेदारी
TCS की official announcement के मुताबिक acquisition उसकी wholly-owned subsidiary Tata Consultancy Services Netherlands B.V. के जरिए किया जाएगा।
Company Porsche AG से MHP की 100% equity shares खरीदेगी। Deal का enterprise value €320 million तय किया गया है, हालांकि closing के समय net debt और working capital जैसे customary adjustments हो सकते हैं।
Transaction अभी पूरा नहीं हुआ है। इसे European और संबंधित national regulators से approvals मिलना बाकी है।
अगले 3-4 महीने में Deal पूरी होने की उम्मीद
मीडिया रिपोर्ट्स के मुताबिक TCS को acquisition अगले तीन से चार महीनों में पूरा होने की उम्मीद है।
इसके लिए European Commission के साथ Germany और Romania की regulatory authorities से आवश्यक approvals मिलने होंगे।
इसलिए फिलहाल यह कहना ज्यादा सही है कि TCS ने MHP को खरीदने का agreement किया है; ownership transfer regulatory clearance के बाद पूरा होगा।
क्या है €1.25 Billion Strategic Deal?
MHP acquisition इस agreement का केवल एक हिस्सा है।
Porsche और TCS ने पांच साल का strategic deal किया है जिसकी value करीब €1.25 billion, यानी मौजूदा conversion के हिसाब से लगभग ₹14,000 करोड़ के आसपास है।
Partnership में TCS Porsche के लिए Artificial Intelligence और digital transformation को बड़े scale पर implement करने में मदद करेगा।
इसमें मुख्य रूप से:
- Vehicle engineering
- Manufacturing
- Business operations
- Customer experience
- Enterprise transformation
- Software-defined mobility
- Artificial Intelligence
जैसे क्षेत्रों पर focus रहेगा।
Porsche के लिए बनेगा AI Mobility Centre of Excellence
इस partnership की सबसे महत्वपूर्ण घोषणा एक dedicated AI Mobility Centre of Excellence (CoE) की है।
TCS Porsche के लिए यह विशेष centre स्थापित करेगा, जिसका उद्देश्य automotive business में AI use cases को experimental stage से निकालकर industrial scale पर लागू करना होगा।
यह CoE manufacturing plants से लेकर vehicle engineering और customer-facing services तक AI का इस्तेमाल बढ़ाने पर काम करेगा।
इसके जरिए Porsche development speed, operational efficiency और software-based mobility solutions को बेहतर करना चाहता है।
MHP क्या करती है?
MHP Germany की एक established management और IT consultancy company है जिसका headquarters Ludwigsburg में है।
Company की expertise automotive और manufacturing industries के साथ-साथ aerospace, defence, energy और public sector तक फैली हुई है।
MHP की प्रमुख capabilities में शामिल हैं:
- Business consulting
- AI transformation
- SAP transformation
- Manufacturing digitalisation
- Connected mobility
- Software-defined mobility
यही automotive expertise TCS के लिए acquisition का सबसे बड़ा strategic benefit मानी जा रही है।
MHP में करीब 4,500 Employees
MHP में लगभग 4,500 कर्मचारी काम करते हैं।
Company ने calendar year 2025 में €742 million का turnover दर्ज किया था।
इसका presence Germany के अलावा Romania, UK, US, India और Mexico जैसे markets में भी है।
Acquisition के बाद TCS को European automotive consulting market में एक बड़ा established workforce और client ecosystem मिलेगा।
क्या MHP का नाम खत्म हो जाएगा?
नहीं।
MHP की official announcement के मुताबिक acquisition पूरा होने के बाद भी company MHP brand के रूप में बनी रहेगी और TCS के भीतर एक distinct तथा independent consulting firm के तौर पर operate करेगी।
यानी फिलहाल MHP को TCS में पूरी तरह merge करके उसका brand हटाने की योजना नहीं बताई गई है।
Porsche और MHP के बीच वर्षों से चला आ रहा business relationship भी जारी रहेगा।
TCS CEO K Krithivasan ने क्या कहा?
TCS के CEO और MD K Krithivasan ने कहा कि automotive industry को AI, software और data तेजी से बदल रहे हैं।
उनके मुताबिक TCS की AI, engineering, technology और business transformation capabilities को MHP की automotive consulting expertise के साथ जोड़कर Porsche के पूरे value chain में AI को बड़े scale पर industrialise किया जाएगा।
TCS का लक्ष्य intelligent और software-defined mobility solutions को तेजी से develop करने में Porsche की मदद करना है।
Porsche को Deal से क्या मिलेगा?
Porsche AG के CEO Michael Leiters के मुताबिक Porsche की automotive expertise को TCS की digital technology और AI capabilities के साथ जोड़ने से company की innovation क्षमता और efficiency बेहतर हो सकती है।
Porsche ऐसे समय में यह transformation कर रहा है जब global automobile industry:
- Electric Vehicles
- Artificial Intelligence
- Autonomous technology
- Software-defined vehicles
- Chinese competition

Porsche ने MHP क्यों बेची?
Porsche ने इस transaction को अपनी “Sportwagenschmiede 35” strategy का हिस्सा बताया है।
German automaker के मुताबिक MHP की sale से Porsche अपने core sports-car business पर ज्यादा focus कर सकेगा, जबकि MHP को TCS जैसे global technology group के साथ international growth के ज्यादा अवसर मिलेंगे।
Porsche ने साफ किया है कि MHP के साथ उसका strategic collaboration acquisition के बाद भी जारी रहेगा।
TCS के लिए Europe में बड़ा मौका
TCS के लिए यह acquisition केवल Porsche account तक सीमित नहीं है।
MHP के जरिए TCS को Germany और broader European automotive तथा industrial markets में अपनी consulting presence मजबूत करने का मौका मिलेगा।
Europe दुनिया के सबसे बड़े automotive engineering hubs में से एक है। Volkswagen Group, BMW, Mercedes-Benz जैसे major manufacturers की मौजूदगी के कारण यहां automotive software, cloud, AI और engineering services की demand काफी बड़ी है।
MHP जैसी specialized consultancy TCS को इन क्षेत्रों में high-value consulting projects हासिल करने में मदद कर सकती है।
AI के कारण बदल रहा IT Services Business
यह acquisition ऐसे समय हो रहा है जब global IT services industry Artificial Intelligence के कारण बड़े बदलाव का सामना कर रही है।
Reuters के मुताबिक India की करीब $315 billion IT industry पर AI automation का असर बढ़ रहा है और traditional outsourcing models तेजी से transform हो रहे हैं।
ऐसी स्थिति में TCS जैसी कंपनियां traditional IT outsourcing से आगे बढ़कर:
- AI consulting
- Engineering
- Industry-specific transformation
- Software-defined products
- High-value strategic consulting
में अपनी मौजूदगी बढ़ा रही हैं।
Porsche-MHP deal इसी strategy का बड़ा उदाहरण है।
TCS Shares में भी दिखी तेजी
Deal की घोषणा के बाद TCS shares में शुरुआती कारोबार के दौरान 1% से ज्यादा की तेजी देखने को मिली।
हालांकि Morgan Stanley, Citi और कुछ अन्य brokerages ने acquisition को strategically positive मानने के बावजूद TCS stock को लेकर cautious outlook बनाए रखा है।
Analysts के लिए अब सबसे बड़ा सवाल यह होगा कि TCS MHP को कितनी तेजी से integrate करता है और €1.25 billion partnership से margins और revenue growth पर कितना असर पड़ता है।
Indian IT Industry के लिए क्यों बड़ी है Deal?
Indian IT companies पिछले कुछ वर्षों से Europe में engineering और specialised consulting capabilities acquire कर रही हैं।
Reuters के मुताबिक competitors ने भी European automotive और engineering companies में acquisitions किए हैं। अब TCS का MHP acquisition Indian IT industry’s shift को और मजबूत करता है—जहां companies केवल coding और outsourcing provider नहीं बल्कि end-to-end technology और engineering partners बनना चाहती हैं।
Deal का सबसे बड़ा फायदा किसे?
TCS को:
German automotive expertise + 4,500 professionals + European clients + AI consulting capabilities मिलेंगी।
Porsche को:
TCS का global technology scale + AI capabilities + engineering expertise + transformation capacity मिलेगी।
वहीं MHP को TCS के international network के जरिए Porsche से बाहर भी अपने business को expand करने का मौका मिलेगा।
अभी Deal Final नहीं हुई
इस पूरे transaction में सबसे महत्वपूर्ण legal point यह है कि acquisition अभी regulatory approvals के अधीन है।
TCS और Porsche ने agreement sign कर दिया है, लेकिन MHP की ownership officially TCS को तभी transfer होगी जब required antitrust और regulatory clearances मिल जाएंगी।
इसलिए अभी headline में “TCS करेगा अधिग्रहण” या “TCS ने MHP खरीदने का समझौता किया” लिखना “TCS ने MHP खरीद लिया” की तुलना में ज्यादा accurate होगा।
क्या है इस Deal की बड़ी तस्वीर?
TCS-Porsche deal traditional IT outsourcing से कहीं बड़ी partnership है।
एक तरफ TCS €320 million में Porsche की specialized automotive consultancy MHP को acquire करने जा रहा है, वहीं दूसरी ओर उसे Porsche के साथ पांच साल का €1.25 billion strategic business relationship मिल रहा है।
इसके केंद्र में Artificial Intelligence और future mobility है।
अगर regulatory approvals समय पर मिल जाते हैं तो यह transaction European automotive technology market में TCS की position को काफी मजबूत कर सकता है और AI-led technology services company बनने की उसकी global ambition को भी आगे बढ़ा सकता है।
नोट: TCS और Porsche ने deal की घोषणा 24 अगस्त 2026 को की थी। Acquisition regulatory approvals के अधीन है और अगले 3-4 महीनों में पूरा होने की उम्मीद है।
